Terms and conditions
1. General
1.1 Frontliners develops and offers workforce management encompassing a range of activities ensuring that a business has the most effective employers.
1.2 The service is owned by Frontliners ApS, a Danish company registered at Flæsketorvet 68 1., 1711 Copenhagen V, Denmark. Registered in the Danish Trade Register with CVR 38 86 53 66 and e-mail address: [email protected].
2. Use
2.1 By ordering the service, the customer accepts these terms, which will apply for the entire subscription duration.
3. Intellectual property rights
3.1 Customers retain full intellectual property rights over the content they create and upload but not over the underlying software or platform functionality.
3.2 Frontliners retains rights to the service and its inherent content. These rights are protected by the Copyright Act and international conventions.
4. Subscription
4.1 Accepted payment methods are Visa (including Visa/Dankort), Mastercard, and bank transfers.
4.2 Fees for card payments are included in the product price. Bank transfer fees, if any, are to be borne by the customer unless otherwise stated.
4.3 Customers pay according to their selected package and monthly consumption.
4.4 In case of payment failures, declined, or expired cards, or failed bank transfers, Frontliners will notify the customer, and the customer may be required to update their payment method.
5. Termination of the subscription
5.1. Customer’s Right to Terminate:
5.1.1. The customer may terminate the subscription without further notice, to the expiration of the end of their current subscription month. The subscription month is defined as the monthly period starting from the date the customer initially subscribed to the service. For instance, if a customer subscribes on the 10th of a month, their subscription month runs from the 10th of one month to the 9th of the following month.
5.1.2. Upon receiving a termination request, Frontliners will confirm the exact end date of the customer’s current subscription month, and the service will be active until that date.
5.2. Upon termination of the subscription, Frontliners shall delete all personal data that is unique to the customers’ accounts but can keep anonymized aggregated data for optimization analytics and benchmarking purposes.
This approach ensures clarity for the customer and sets clear expectations regarding the termination date relative to their specific subscription start date. As always, consulting with your legal counsel on the finalized wording is advisable.
5.3. Frontliners’ Right to Terminate:
5.3.1. Frontliners reserves the right to terminate a customer’s subscription under the following circumstances:
Non-Payment: Failure of the customer to pay subscription fees or any other dues after a specified grace period.
Breach of Agreement: If the customer is found in breach of any terms specified in this agreement, after being given a specified period to remedy the breach.
Illegal Activities: Use of the service for illegal activities or purposes that are not in alignment with Frontliners’ values and policies.
Discontinued Services: If Frontliners decides to discontinue the service or any major feature that affects the customer significantly, a 6-month prior notice will be provided to the customer.
5.3.2. In the event of termination by Frontliners due to reasons other than breach of agreement or illegal activities by the customer, the customer will be entitled to a prorated refund for any prepaid but unused services.
5.3.3. For terminations falling under the “Discontinued Services” clause or any other circumstances agreed upon with the customer, Frontliners commits to providing a 6-month warning period before the termination becomes effective.
5.3.4. Frontliners will provide written notice of termination to the customer, specifying the reason for termination and any grace period, if applicable.
6. Abuse
6.1 Frontliners defines abuse as any of the following actions:
6.1.1. Using the Service in a manner that generates an abnormally large number of requests or data transfers within a 24-hour period. Frontliners reserves the right to determine what is considered an abnormally high number based on the average use of the Service.
6.1.2. Unauthorized Access: Attempting to gain unauthorized access to any part of the system, including other users’ accounts, the system backend, or any other systems connected to Frontliners.
6.1.3. Malicious Activity: Uploading or spreading malware, viruses, or any other malicious code.
6.1.4. Data Mining or Scraping: Using automated scripts to collect data from the service without permission.
6.1.5. False Representation: Impersonating another user, a staff member of Frontliners, or any other false representation.
6.1.6. Fraudulent Activity: Using the service for fraud, including credit card fraud or other illegal financial activities.
6.1.7. Harassment: Using the service to harass, threaten, or defame any individual or entity.
6.1.8. Illegal Activities: Using the service for any activity that violates local, state, national, or international laws.
6.1.9. Bypassing Security: Trying to circumvent any security features or bypassing restrictions set by the system.
6.1.10. Reselling or Unauthorized Redistribution: Selling access to the service, sharing a single-user access, or otherwise providing third parties with unauthorized access.
6.2 Frontliners reserves the right to determine what constitutes abuse and to change this definition as needed. If there’s any suspicion of abuse, Frontliners may take appropriate actions, including but not limited to temporary suspension, permanent ban, or legal actions.
7. Support
7.1 Support is provided via online chat, telephone, or email in Danish or English, with weekday responses within 24 hours.
8. Customer Information
8.1 Upon subscription, Frontliners records relevant customer information in accordance with GDPR and applicable rules.
8.2 Customers must update any changes to their recorded information.
8.3 Frontliners will only use customer data to provide services.
8.4 Anonymized aggregated statistics and data may be used for platform optimization.
8.5 Users are responsible for protecting their login information and notifying Frontliners of unauthorized access.
9. Privacy Policy
9.1 Frontliners uses various security measures to protect customer data. A detailed privacy policy is available for further clarification.
10. Confidentiality
10.1 Pricing and terms are confidential.
10.2 Frontliners will maintain the confidentiality of customer data.
10.3 Confidentiality obligations persist after subscription termination.
11. Marketing
11.1 Frontliners can use customer logos and details for reference and marketing purposes.
12. Content and usage restrictions
12.1 Frontliners isn’t responsible for users’ content misuse.
12.2 Misuses include illegal purposes, publishing threatening, libelous, or pornographic material, violating third-party rights, uploading malicious material, false representation, and unauthorized access.
13. Liability
13.1 Frontliners is responsible for product liability per mandatory legislation.
13.2 Frontliners’ financial liability to the customer for any loss or damage, direct or indirect, regardless of cause, will in no event exceed the total amount paid by the customer to Frontliners in the preceding 6-month period.
13.3 Neither party is liable for indirect losses, lost profits, data loss, or consequential losses related to service use.
14. Force majeure
14.1 Frontliners isn’t liable for unforeseen events beyond its control.
14.2 Both parties are exempt from liability in such cases, but Frontliners will notify customers of such events as soon as possible.
15. Breach
15.1 Frontliners can terminate these terms immediately for material breaches.
15.2 Customer has the right to immediately terminate this Agreement if Frontliners commits a material breach of the Terms. Material breach includes, but is not limited to, failure to provide the Service in accordance with the Agreement or material changes to the operation of the Service without prior notice.
